Delivery Partner Agreement

This Agreement is entered into between RBUY Marketing Private Limited (operating as ROOPAY SHOPPE™, "the Platform") and you ("the Delivery Partner"). By activating a Delivery Partner role (DVL ID), you confirm that you have read, understood, and agree to be bound by all terms below.

1. Eligibility & Role

This Agreement applies exclusively to individuals holding the Delivery Partner (DVLxxxxxx) role on ROOPAY SHOPPE™.
You must be at least 18 years of age, hold a valid government-issued driving licence appropriate for the vehicle you will use for deliveries, and be legally capable of entering into a contract under Indian law.
You operate as an independent contractor, not as an employee or agent of RBUY Marketing Private Limited. You are responsible for your own taxes, vehicle maintenance, fuel, and insurance.
Your Delivery Partner role remains active for 365 days from the date of activation and must be renewed annually.

2. KYC Requirements

The following documents are mandatory before you may accept delivery assignments:

AADHAARValid Aadhaar card — for identity verification. Encrypted using AES-256.
LICENCEValid driving licence — must be appropriate for the vehicle class you will use (two-wheeler, three-wheeler, or four-wheeler).
BANKBank account number and IFSC for settlement of your delivery earnings.
PANPermanent Account Number (PAN) — required for TDS compliance. No-PAN partners face 5% TDS deduction.
VEHICLEVehicle registration certificate (RC) — mandatory for all motorised delivery vehicles.

All submitted documents are AES-256 encrypted and stored on secure private cloud. Any KYC fraud will result in immediate termination and reporting to authorities.

3. Delivery Assignments

You will receive delivery assignment notifications via the ROOPAY SHOPPE™ mobile app. Acceptance is voluntary — you are free to accept or decline any assignment without penalty.
Once you accept an assignment, you must complete it in good faith. Repeated abandonment of accepted assignments (without valid reason) may result in a rating penalty or temporary suspension.
For food and grocery deliveries, you must maintain appropriate hygiene standards and use insulated bags where required.
For COD (Cash-on-Delivery) orders, you must collect the exact COD amount from the customer and deposit it as instructed via the app. Misappropriation of COD amounts is a criminal offence.
A 4-digit OTP is required from the customer at delivery completion. The OTP must be entered in the app to mark the delivery as complete and release payment.

4. GPS & Live Tracking

You must enable GPS location sharing on the ROOPAY SHOPPE™ app while on an active delivery assignment. Location data is shared with the customer and the platform for safety and quality assurance.
Live tracking data is used solely for delivery coordination and is not sold or shared with third parties outside the platform.
You may disable location sharing when not on an active assignment. Location tracking is not continuous outside active delivery slots.

5. Delivery Earnings

Your delivery fee per assignment is displayed in the app at the time of the assignment offer. The fee is based on distance, package type, and surge pricing (if applicable).
Earnings are credited to your Delivery Partner Wallet after successful delivery confirmation (OTP-verified or system-marked).
The platform enforces a one-active-withdrawal rule: wait for your previous withdrawal to credit before requesting a new one.
TDSTDS under Section 194O at 0.1% is deducted on annual delivery earnings exceeding ₹5,00,000. No-PAN partners face 5% TDS.
Withdrawal processing time: 3–7 business days.

6. Business Wallet (BW) Position

As a Delivery Partner, you earn a Business Wallet (BW) position through your platform activity.
Your BW position earns from the 3% Admin Share Wallet pool automatically — passively, every hour, without any extra action.
BW Spendings grow with each delivery you complete, increasing your position in the share distribution pool.

7. Conduct & Safety

You must conduct yourself professionally and courteously when interacting with customers, sellers, and platform representatives.
You must not consume alcohol, drugs, or any intoxicating substance while on an active delivery assignment.
You must comply with all applicable traffic laws, speed limits, and road safety regulations while making deliveries.
Any accident, theft, or damage to a delivery package must be reported immediately through the app.
You must not open, tamper with, or delay the delivery of any package.
Harassment of customers or sellers — in person or digitally — will result in immediate role termination.

8. Vehicle & Insurance

You are solely responsible for maintaining your delivery vehicle in a roadworthy condition, including valid vehicle registration, pollution under control (PUC) certificate, and appropriate vehicle insurance.
The platform does not provide vehicle insurance, accident coverage, or health insurance. You are advised to obtain appropriate personal accident and vehicle insurance independently.
The platform is not liable for any vehicle damage, accident, or personal injury occurring during your delivery activity.

9. Prohibited Conduct

Delivering prohibited items (narcotics, weapons, counterfeit goods, or items banned under Indian law) — even if the sender misrepresents the package contents.
Colluding with customers or sellers to mark a delivery as complete without actual delivery.
Misappropriating, opening, or stealing package contents.
Operating under the influence of alcohol or drugs.
Sharing your DVL credentials or app access with another person.
Using a vehicle class not matching your registered driving licence.

10. Termination

The platform may immediately suspend or terminate your Delivery Partner role for safety violations, criminal conduct, KYC fraud, or repeated policy breaches.
On termination, any pending earnings in your Delivery Wallet will be settled (minus applicable taxes) within 15 business days.
You may voluntarily resign by withdrawing your Delivery Partner role from your profile settings. Outstanding deliveries must be completed before resignation is processed.

11. Governing Law & Disputes

This Agreement is governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of courts at Virudhunagar, Tamil Nadu.

RBUY Marketing Private Limited reserves the right to modify these terms at any time. Continued use of your Delivery Partner role constitutes acceptance of the revised terms.
