User Terms & Conditions

1. Agreement to Terms

By creating an account on ROOPAY SHOPPE™ ("Platform"), operated by RBUY Marketing Private Limited ("Company"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform. These Terms apply to all users, regardless of the role they hold on the Platform.

3. Account Validity — 365-Day Rule & Annual Renewal Fee

Every account on the Platform has a validity period of 365 days from the date of activation. All roles (User, Seller, ME, Vendor, Farmer, Manufacturer, Loan Provider, Biller, Delivery) pay an annual membership fee of ₹1,000 (inclusive of GST) to renew and remain active. Renewal is automatic — the ₹1,000 fee is debited from your Discount BV first, then your Roopay BV. You will receive notification reminders 30 days, 15 days, and 7 days before expiry. By activating your account you consent to this annual auto-renewal. Expired accounts cannot transact but their data is retained as per our Privacy Policy.

4. Platform Charges — 5% Fee

A 5% platform service charge is levied on every BV transaction on the Platform. This charge applies to both the sender and the recipient of every transaction. The charge is calculated on the following slab:

The full 5% platform charge is credited in its entirety to the Admin Share Wallet maintained by RBUY Marketing Private Limited. From this wallet, platform-wide share distribution earnings are calculated and credited to all active Business Wallet (BW) position holders at regular intervals. The 5% charge is not levied on top-up transactions made via payment gateways (Cashfree, PayU, etc.).

6. Prohibited Activities

The following activities are strictly prohibited and will result in immediate account suspension and may result in legal action:

• ✗Creating fake or duplicate accounts for any purpose.
• ✗Using the Platform to launder money, evade taxes, or finance illegal activities.
• ✗Selling counterfeit, illegal, or prohibited goods through any seller role.
• ✗Attempting to reverse-engineer, scrape, or hack any part of the Platform.
• ✗Sharing your OTP, password, or login credentials with any third party.
• ✗Manipulating referral codes, activation codes, or BV transactions for artificial gain.
• ✗Providing false KYC documents or impersonating another person.

7. Account Suspension & Termination

The Company reserves the right to suspend or permanently terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the Platform or other users. Upon termination, any BV balance may be frozen pending investigation. Refunds of frozen balances will be made after deducting applicable charges, subject to the outcome of the investigation. You may request account closure at any time by contacting support, provided all pending transactions and withdrawals are settled.

8. Dispute Resolution & Governing Law

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably by contacting our support team. If a resolution cannot be reached within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts located in Tamil Nadu, India. These Terms are governed by the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.

9. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
