Cottage Industry Agreement

This Agreement is entered into between RBUY Marketing Private Limited (operating as ROOPAY SHOPPE™, "the Platform") and you ("the Cottage Industry Seller"). By activating a Cottage Industry role (CI ID), you confirm that you have read, understood, and agree to be bound by all terms below.
1. Eligibility & Role
›This Agreement applies exclusively to individuals or small household enterprises holding the Cottage Industry (CIxxxxxx) role on ROOPAY SHOPPE™.
›Eligible sellers include artisans, weavers, handloom workers, potters, home bakers, pickle-makers, embroiderers, handicraft makers, and all other home-based or small-scale manufacturing units.
›You must be at least 18 years of age and legally capable of entering into a contract under Indian law.
›Your Cottage Industry role remains active for 365 days from the date of activation and must be renewed annually.
2. KYC Requirements
Minimal KYC is required for Cottage Industry sellers to make the platform accessible to grassroots entrepreneurs:
AADHAARValid Aadhaar card — mandatory for identity verification. Your Aadhaar number is encrypted using AES-256 and never stored in plain text.
PANPermanent Account Number (PAN) — mandatory for TDS compliance. Sellers without PAN face higher TDS deductions (see Section 8).
BANKBank account number and IFSC for settlement of your earnings.
GSTGST registration is required only if your annual turnover exceeds the GST exemption threshold (₹20 lakh for services, ₹40 lakh for goods under composition). Below threshold, GST is not required.
All submitted documents are encrypted using AES-256 and stored on secure private cloud storage. KYC fraud will result in immediate account termination and reporting to authorities.
3. Product Listing Rules
›You may only list products you personally make, manufacture at home, or produce in a small-scale unit that you own or operate.
›Products must be authentic, accurately described, and comply with the Food Safety and Standards Act (for edibles), BIS standards (for manufactured goods), and all other applicable Indian regulations.
›You must not list mass-manufactured, branded, or factory-produced goods under the Cottage Industry role. The CI role is reserved for genuine handmade and home-made products.
›Product photographs must be genuine images of your actual products. Stock photos or misleading images are prohibited.
›Pricing must reflect fair value. The platform encourages fair producer-to-consumer pricing with no middlemen.
4. Order Fulfilment
›You must confirm orders within 3 days of receiving the order notification. Unconfirmed orders auto-cancel and are fully refunded.
›Packing and handover for shipping must be completed within 48 hours of order confirmation.
›You are responsible for packing your products securely to prevent damage in transit. Any damage due to inadequate packing is your responsibility.
›If you cannot fulfil an order, cancel promptly via the platform — do not leave buyers waiting.
5. Platform Charges
›A 5% platform charge applies to all BV wallet transactions on both the buyer and seller side.
›The 5% split: 1% to your Business Wallet (Available + Spendings), 1% to your assigned ME's wallet, 3% to the platform Admin Share Wallet.
›There is no listing fee, monthly subscription, or setup cost for Cottage Industry sellers.
6. Earnings & Withdrawal
›After successful delivery and the 24-hour buyer protection window, your earnings are automatically credited to your Seller Wallet.
›Withdrawal requires a verified bank account and is subject to the one-active-withdrawal rule: wait for the previous withdrawal to credit before requesting a new one.
TDSTDS under Section 194O at 0.1% is deducted on CI annual earnings exceeding ₹5,00,000. No-PAN sellers face 5% TDS.
7. Business Wallet (BW) Position
›Like all other roles, you automatically earn a Business Wallet (BW) position through your platform transactions.
›Your BW position earns from the 3% Admin Share Wallet pool automatically — every hour, with no extra action required.
›BW position grows with every sale you make and every purchase your referred users make on the platform.
8. Intellectual Property
›You retain full ownership of all designs, patterns, recipes, and creative works you list on the platform.
›By listing on ROOPAY SHOPPE™, you grant the platform a non-exclusive, royalty-free licence to display, promote, and market your listed products on the platform and in platform marketing materials.
›You must not list products that infringe on third-party intellectual property, trademarks, or copyrights.
9. Prohibited Conduct
›Listing mass-produced or factory-made goods under the CI category.
›Falsely claiming handmade or artisan origin for imported or machine-made items.
›Listing food products without proper ingredient disclosure or in violation of FSSAI guidelines.
›Accepting payments outside the platform to avoid platform charges.
›Listing prohibited, counterfeit, obscene, or dangerous items.
10. Governing Law & Disputes
›This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts at Virudhunagar, Tamil Nadu.

›RBUY Marketing Private Limited reserves the right to modify these terms at any time with notice. Continued use constitutes acceptance of the revised terms.
